TypezoTerms

Terms of service.

The contract for the Typezo workspace: what we provide, what you may do with it, what it does not promise, and what happens when it ends. Plain enough to read before you sign.

Effective 2026-10-19 · Last updated 2026-10-19

1. The agreement

These Terms are a contract between you (the customer) and Typezo (“we”, “us”) for the Typezo workspace and the related services described at https://typezo.io. By creating a workspace, signing an order, or using the service, you accept these Terms. If you accept on behalf of a company, you confirm you are authorised to bind it. If you do not agree, do not use the service.

An order form, a statement of work, the security rider and a data processing addendum form part of the agreement. If they conflict with these Terms, the signed order and the rider prevail, in that order, for the subject they cover.

2. Who we are

Typezo operates https://typezo.io. Contact for notices and legal correspondence: jason@typezo.io. A postal address is available on request from the contact address below.

3. The service

Typezo reads a solicitation and the company documents you upload, extracts requirements with their section and page, drafts an answer only where a stored span supports it, reports unsupported requirements as gaps, and exports a compliance matrix (XLSX) and a requirement-by-requirement draft (DOCX). The same workspace includes a help desk that answers from your published articles with the same citation check.

The current scope is English and US solicitations, one solicitation plus up to 20 company documents per workspace. Narrative bid sections are not generated. We may improve or change the service, but we will not materially reduce what you have paid for during a paid term without telling you.

The sample workspace is a demonstration. Its company, solicitation, citations and results are fictional and must not be relied on for a real bid.

4. Accounts and security

You are responsible for the accuracy of account details, for keeping sign-in credentials confidential, and for activity under your workspace. Tell us promptly if you believe credentials have been compromised. We may suspend access to protect the service or other customers, and will tell you why unless the law or a security risk prevents it.

Administrative access on your side, roles and allowlists are described on the security and data page. The allowlist reduces exposure; it is not authentication.

5. Your content

You keep all rights in the documents, text, articles, tickets and other content you upload (“customer content”). You grant us a limited licence to host, copy, parse, index, transmit and display customer content only to provide the service, secure it, support you and meet the law. That licence ends when the content is deleted, except for backups that age out under the tenant key.

You confirm you have the right to upload the content and to let us process it, including any personal data in it, and that your instructions to us comply with the law. Where you upload personal data, you are its controller and we act as your processor; a data processing addendum is available on request.

We do not use customer content to train models, and our model providers are contractually barred from training on or retaining it. We do not access customer content except to provide support you request, to investigate a security incident, or where the law requires it.

6. Outputs are drafts, not advice

The compliance matrix, draft answers and citations are working documents for your team to review and edit. The verifier checks that a quote appears on the page it cites, that the page number comes from the parser, and that numbers, dates and dollar figures appear in a cited quote. It does not check whether an answer is relevant, current, complete or likely to win, and it does not replace your judgement or a lawyer's.

Nothing in the service or its output is legal, procurement, accounting or tax advice. You are responsible for the bid you submit and for the accuracy of every statement in it.

7. Acceptable use

You may not use the service to:

  • upload content you do not have the right to process, or personal data you are not permitted to share;
  • break the law, infringe rights, or prepare a bid that is fraudulent or misleading;
  • attempt to access another tenant's data, probe or bypass the sandbox, the allowlist or the verifier, or test the service for vulnerabilities without our written permission;
  • reverse engineer, resell, sublicense or provide the service to a third party as a service of your own, except as an order permits;
  • upload malware, or content designed to make the model or the tools do something other than the task;
  • exceed documented limits, or use the service in a way that degrades it for others.

We may suspend or remove content that breaches this section, and will tell you unless the law or a security risk prevents it.

8. Fees, billing and taxes

Fees are stated on the pricing page and in your order. The annual plan is billed yearly in advance. Included token allowances, overage rates, and the treatment of failed runs and cache hits are stated there and in the statement of work. Fees exclude taxes, which you pay except for taxes on our income.

Invoices are due as stated on the order. If you do not pay on time, we may suspend the service after notice and charge interest where the law allows. Fees are non-refundable except where the law requires a refund or where we terminate for our own convenience before the end of a paid term, in which case we refund the unused portion.

We may change prices at renewal with at least 30 days' notice. A price change does not apply to a term already paid for.

9. Term, suspension and termination

The initial term is stated on the order. Unless the order says otherwise, renewal is by a new order; the service does not renew itself silently. Either party may terminate for material breach that is not cured within 30 days of written notice, or if the other becomes insolvent or ceases to operate.

On termination, your right to use the service ends. You may export your data during the term. After termination we delete the workspace as described on the security page: the tenant key is destroyed, the volume is wiped, the bucket prefix is purged, and a signed receipt is issued within 30 days. Deletion is irreversible, so export before the term ends. Records we must keep for tax, accounting or legal purposes survive, limited to that purpose.

10. Confidentiality

Each party will protect the other's confidential information with at least reasonable care, use it only for the agreement, and disclose it only to people who need it and are bound by confidentiality. This does not cover information that is public through no fault of the recipient, already known without a duty, independently developed, or required to be disclosed by law (where we will give notice where lawful). Customer content is confidential.

11. Intellectual property

We own the service, the software, the site, the verifier and our trademarks. You own customer content and your outputs. You grant us a non-exclusive, perpetual licence to use feedback you give us to improve the service, without identifying you. No rights are granted except those stated in the agreement.

12. Third-party services

The service uses the providers listed in the privacy policy. We choose them under the provider policy on the security page. We are responsible for their processing on our behalf, but we are not responsible for a third-party service you choose to connect, or for outages caused by a provider outside our control.

13. Disclaimers

The service is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that a run will pass verification, or that a bid will win.

We do not hold FedRAMP, CMMC or SOC 2, and nothing in the agreement implies that we do. The security rider states what the architecture does; it is not a certification.

If you are a consumer, mandatory consumer law applies and nothing in this section removes rights you cannot waive.

14. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if warned of the possibility.

Our total liability under the agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim. This cap does not apply to fraud, wilful misconduct, gross negligence, death or personal injury, or any liability that cannot be limited by law.

15. Indemnity

You will defend and indemnify us against third-party claims arising from customer content, from your use of the service in breach of these Terms, or from a bid you submit, except to the extent the claim is caused by our breach.

We will defend and indemnify you against a third-party claim that the service itself infringes that party's intellectual property rights. This does not cover claims caused by customer content, modifications not made by us, or use in breach of these Terms. If such a claim is made, we may modify the service or procure the right to continue it; if neither is reasonably possible, either party may terminate the affected order and we refund the unused prepaid fees. This is your only remedy for intellectual property infringement.

16. Governing law and disputes

These Terms are governed by the laws that apply at Typezo's principal place of business. Before starting proceedings, the parties will try in good faith to resolve a dispute through written notice and a call between decision-makers within 30 days. If that fails, the dispute will be brought in the courts with jurisdiction over Typezo's principal place of business. Nothing in this section prevents either party from seeking urgent injunctive relief where necessary, or a consumer from bringing a claim in their local courts where the law gives them that right.

17. Changes

We may update these Terms. The date at the top changes when we do. For a material change, we will give at least 30 days' notice by email or on the site; if you do not agree, you may stop using the service before the change takes effect. Continued use after the effective date accepts the updated Terms. Changes do not apply retroactively to a dispute that arose before them.

18. General

The agreement is the entire agreement between us on its subject and replaces prior discussions. A failure to enforce a term is not a waiver. If a term is unenforceable, the rest stays in force. You may not assign the agreement without our consent; we may assign it as part of a merger or sale, provided the assignee assumes it. Neither party is liable for delay caused by events beyond its reasonable control. Notices must be in writing to the contact address above or to the email on your account.
